Summary of the TagPlus purchase agreement

You are purchasing a license to use TagPlus, an online management system with tax features. The ideal solution to manage any kind of business.

TagPlus offers monthly and annual subscription plans that can be paid by credit card, bank slip (boleto) or PIX. Choose the right plan for you at tagplus.com.br/planos.

By email, WhatsApp or the Support feature inside the system, Monday to Friday on business days, from 9 a.m. to 6 p.m. (Brasília time). Requests are handled within 2 business days (7 business days on the lifetime plan).

We value full information security, always with responsibility and seriousness. We do not accept misuse of TagPlus solutions, such as:

• triangle-exclamationTransmitting or spreading threats, child pornography, racist or discriminatory material, or anything that violates Brazilian law.
• triangle-exclamationSpreading viruses, malware, spyware or any other malicious program.
• triangle-exclamationTransmitting data of a type or volume that causes failures in services or equipment on the TagPlus network or third-party networks.
• triangle-exclamationUsing TagPlus software to gather unauthorized information (scanning) on the TagPlus network or third-party networks.
• triangle-exclamationUsing the network to attempt or gain unauthorized access to communication, information or computing devices.
• triangle-exclamationDestroying or corrupting, or attempting to destroy or corrupt, other people's data and information.
• triangle-exclamationSublicensing, selling, giving away or modifying the system without authorization from TagPlus.

All intellectual property rights over TagPlus, including updates, improvements and new features, belong to TagPlus. The license does not give access to the source code. This means you agree to:

• circle-checkNot use the trademarks or any intellectual property of TagPlus without prior, express authorization.
• circle-checkNot use any automated device or manual process to monitor or copy content from the TagPlus service.

Keep the system running and evolving, with updates, fixes and improvements. Scheduled maintenance is announced in advance; interruptions for technical reasons, acts of God or force majeure may happen without prior notice. TagPlus is also obliged to:

• circle-checkProvide remote support through the official channels, on the days and hours stated.
• circle-checkBack up your data every day.
• circle-checkGive at least 15 business days' notice before suspending or shutting down the system.

Keep the payment for the TagPlus license up to date and keep your registration and tax data correct and current, updating it whenever TagPlus asks. You are also obliged to:

• circle-checkProtect your access account: do not share your login and password, which are for personal use.
• circle-checkTake responsibility for your use of the system, for the tax information of your operations and for the data entered into TagPlus.

The annual plan renews automatically 12 months after signing up. The monthly plan can be cancelled at any time, with no fine, with 30 days' notice.

If the annual plan is cancelled before 12 months, there is a fine of 10% (individuals) or 30% (companies) of the remaining monthly payments. For example: in month 7, the fine applies to the 5 remaining months.

• walletYou can change plans whenever you want, in the system itself or with our sales team.

Neither party may share the documents and information you enter into TagPlus, nor the technical data that make up the system. You authorize TagPlus to mention that it works with you in its portfolio and marketing materials, without revealing details of the agreement.

Each party may only share confidential information with employees who need it for their work. This confidentiality remains in force even after the agreement ends, indefinitely.

Conditions agreed between you and TagPlus are only valid in writing and signed by the parties. TagPlus may update these terms at any time, letting you know; if you do not agree, you can end the relationship.

• bellTagPlus is not intended for companies dealing with medicines, fuel distributors and gas stations, firearms retailers, or companies taxed under the actual profit regime (lucro real).
• bellThese terms are governed by Brazilian law. In case of dispute, an amicable solution comes first; the venue is Belo Horizonte/MG.
